10. Indemnification

10.1 Each User agrees to indemnify, defend and hold harmless SpinCore Group, its directors, officers, employees and affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with:

1. a) any breach of these Terms by the User;

13. Governing Law and Jurisdiction

13.1 These Terms, and any dispute arising out of or in connection with them, the Website or the use thereof, shall be governed by and construed in accordance with the laws of Malta, without giving effect to any conflict of law principles.

13.2 Any disputes, claims or proceedings arising out of or relating to these Terms, the Website or its use shall be submitted to the exclusive jurisdiction of the competent courts of Malta.

14. Miscellaneous

14.1 If any provision of these Terms is held invalid, illegal or unenforceable by a competent authority, such provision shall be deemed severed and the remaining provisions shall continue in full force and effect.

14.2 The failure of SpinCore Group to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.3 These Terms constitute the entire agreement between SpinCore Group and the User in relation to the use of the Website and supersede any prior agreements or understandings relating to the same subject matter.
